WHAT WE FUND

Charitable projects run by a small registered UK charity. Must do work within the 5 causes: Animal Welfare, Ocean Protection, Rainforest Protection, Child Welfare, Medical Research. The charity must have yearly income under £500,000. The charity must have an active social media account. Grants up to £2,000. The scoped work in the project brief must be completed by October of the grant year. Projects must provide at least 3 updates on their project throughout the year. WHAT WE DO NOT FUND

Grantmaking organisations. Umbrella organisations. Charities or NG0s not registered in the UK. Charities through a 3rd party. Employee salaries. Funding for places of worship unless they are used for a wider community use, such as an adjoining church hall or a clearly defined community area.

Full Terms & Conditions

1. INTRODUCTION

1.1 These terms and conditions shall govern the awarding of funds ("Grants"), and applications for Grants made through this website, or via email. These terms and conditions may be updated at any time at our sole discretion.

2. INTERPRETATION

2.1 In these terms and conditions and on the '/Zipper' section of the Medik8.com website, any reference to “we” or "us" or "our" or "the Committee" or "the Panel" or "the Judges" or "The Trust" or "the Foundation" or "Zipper Foundation" or "The Zipper Foundation" is a reference to Medik8 Ltd., and its successors, whose registered office is at 35 Ballards Lane, Finchley, London N3 1XW and any reference in these terms and conditions to "you" or "your" or “yours” or ”yourself” or ”yourselves” means you, the charity and includes your employees and those acting for you. Any reference to the "Project" means the charitable project that you intend to use the grant for, as set in the application form and any supporting documents.

3. THE GRANT

3.1 You will use the Grant for:
i. the project as detailed in the application submitted to us (and as amended and finally agreed upon in writing)
ii. the purpose as detailed under Purpose of the Grant in the application form, and
iii. the expenditure as detailed in the approved budget eligibility
iv. the project will end during the timeframe as detailed in the project deadline

3.2 You will make sure that all current members of your executive team, and all future members appointed during the period of the Grant receive a copy of the Grant Agreement.

3.3 We acknowledge that we are responsible for all Grant-related costs that we incur however we are not responsible for your costs in the process of any application. The Grant will only be paid a) when the Foundation is satisfied (in good faith but entirely at our own discretion) that the project is in our opinion of the Judges deliverable, ethical and well managed (amongst other criteria) - and we may decide together to pay in installments on meeting milestones that we decide upon or at the successful completion of the project; and b) on satisfactory submission of the relevant accounts, estimates, invoices agreed upon to our satisfaction such that we can correctly account for the payments in accordance with UK law.

4. PROJECT

4.1 We will obtain your written agreement before making any change to the project.

4.2 You agree to make satisfactory progress with the project in accordance with any timetable set out in your application form and supporting documents and to complete it within the elected timeframe.

4.3 In the event any funds are paid to you prior to the commencement or completion of the Project, you will not use the Grant to pay for any spending commitments you have made before the date of the Letter of Offer.

4.4 If the cost of the project decreases, you will decrease the amount of the grant by the appropriate share of the project budget we submitted to you.

4.5 You will tell us of any other offer of funding for the project from anyone else at any time during the project.

4.6 You hereby consent to any publicity about the Grant and the project as we may from time to time require. You can carry out any forms of publicity and marketing to promote the award of the Grant as you see fit. We will endeavour to do whatever you reasonably require in order to assist with any form of publicity and marketing, including any press or media related activities, but make no committment in this document. We are trying to do good andhave limited staff resources - all applicants must understand this and proposing professional well-managed projects will likely give an advantage in application process.

4.7 In our management of all personal information we shall endevour to meet the requirements of GDPR.

5. VAT

5.1 We acknowledge that the Grant is not consideration for any taxable supply for VAT purposes by you to us. Our obligation does not extend to paying you any amounts in respect of VAT in addition to the Grant and that the Grant made by us is inclusive of VAT.

6. MONITORING

6.1 You will report to us on the progress of the project a minimum of three times throughout the course of the project, or the project timeline as set out in the Grant Agreement.

6.2 You will tell us immediately in writing of anything that significantly delays, threatens or makes unlikely the project’s completion.

6.3 We will tell you immediately if there is to be any variation to or decrease in the project outcomes.

6.4 You agree to post about the project on your social media account through either Instagram or Facebook, and making reference to The Zipper Foundation in the post, a minimum of two times throughout the project.

7. BREACH AND REPAYMENT

7.1 You accept that we may demand repayment of all or part of the Grant and/or cancel any unpaid part of the Grant at our absolute discretion in any of the following circumstances if:

i. any term or condition to which the Grant is subject is not complied with or is contravened; or
ii. you do not notify us immediately in writing of any changes to the project.
iii. you fail to meet any of these terms and conditions, or the terms and conditions attached to any other Grants from you for which a Grant Agreement is still in force.
iv. you completed the application form dishonestly or significantly incorrectly or misleadingly.
v. you or any other person or organisation operating for you gave us any significantly misleading or inaccurate information, whether deliberate or accidental, during the application process, or during the period of the Grant agreement.
vi. your organisation, members of your governing body, employees or volunteers are subject to an investigation or formal enquiry by the Police, the Charity Commission, HM Revenue and Customs, or other regulatory body.
vii. we receive duplicate applications from any other source for the same or any part of the project.
viii. you do not take positive steps to ensure equal opportunities in your own practices and the delivery of and access to your services.
iv. we are or become legally ineligible to give the Grant.

8. VARIATION

8.1 We may revise these terms and conditions from time to time.

8.2 The revised terms and conditions shall apply to the use of our website from the date of publication of the revised terms and conditions on the website, and you hereby waive any right you may otherwise have to be notified of, or to consent to, revisions of these terms and conditions.

8.3 If you have given your express agreement to these terms and conditions, we will ask for your express agreement to any revision of these terms and conditions; and if you do not give your express agreement to the revised terms and conditions within such period as we may specify, we will disable or delete your account on the website, and you must stop using the website.

8.4 If you have given your express agreement to these terms and conditions and as a consequence of human error, or technical fault with the website, we fail to ask or obtain your express agreement to any revised terms and conditions referred to in Section 16.3 (and/or fail to disable or delete your account, and you continue to use this website), then the terms and conditions to which you have expressly agreed, namely these terms and conditions, will apply.

9. NO WAIVER

9.1 Failure to insist upon strict compliance with any of the terms, covenants, or conditions hereof will not be deemed a waiver of such term, covenant, or condition, nor will any waiver or relinquishment of, or failure to insist upon strict compliance with, any right, power or remedy power hereunder at any one or more times be deemed a waiver or relinquishment of such right, power or remedy at any other time or times.

9.2 No delay in exercising any right hereunder shall be deemed a waiver thereof, and no waiver shall be deemed to have any application to any future default or exercise of rights hereunder.

10. ASSIGNMENT

10.1 You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms and conditions.

10.2 You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these terms and conditions.

11. SEVERABILITY

11.1 If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.

11.2 If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were modified, that part will be deemed to be modified to the minimum extent necessary to make it valid, legal and enforceable, and the rest of the provision will continue in effect.

11.3 If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
